Corporate / Real Estate Associate Attorney

Our client, a sophisticated business and real estate law firm, is seeking a Corporate / Real Estate Associate Attorney to join its growing practice. This role is ideal for an attorney with a strong foundation in corporate transactions, borrower-side real estate finance, and entity structuring who is looking to take on significant client responsibility and work on complex, high-value transactions.

The successful candidate will advise developers, investors, business owners, and real estate sponsors on a broad range of corporate and real estate matters, with a particular emphasis on borrower-side financing transactions, joint venture formations, and entity structuring. This attorney will play a key role in guiding clients through acquisitions, financings, refinancings, and ongoing corporate

governance matters while collaborating closely with sophisticated business and real estate clients.

Key Responsibilities

  • Represent borrowers in commercial real estate financing transactions, including acquisition, construction, bridge, and permanent financing.
  • Structure, negotiate, and document complex lending and real estate transactions.
  • Draft and negotiate loan documents, term sheets, guaranties, and related financing agreements.
  • Form and structure business entities, including partnerships, LLCs, and other investment vehicles.
  • Advise clients on joint venture formations, ownership structures, capital contributions, governance provisions, and exit strategies.
  • Work closely with clients and tax advisors on entity structuring and tax-driven transaction planning.
  • Draft and negotiate operating agreements, partnership agreements, shareholder agreements, and other organizational documents.
  • Support commercial real estate acquisitions, dispositions, and development transactions.
  • Provide ongoing corporate governance, compliance, and general business counseling.
  • Conduct legal due diligence and coordinate transaction closings.
  • Collaborate with lenders, investors, accountants, title companies, and other transaction participants to ensure successful execution of deals.
